Buscar Company Files Unaudited Annual Report for Fiscal Year 2026 and Expands Scope of Ongoing PCAOB Audit to Fiscal Years 2025 and 2026

HENDERSON, Nev. and BEVERLY HILLS, Calif., Oct. 23, 2026 /PRNewswire/ -- Buscar Company (OTC: CGLD) ("Buscar" or the "Company"), a diversified holding company, today announced that it has filed its unaudited annual financial report for the fiscal year ended June 30, 2026, through the OTC Disclosure & News Service. The financial statements included in that report have not been audited or reviewed by an independent registered public accounting firm and are subject to adjustment, which could be material, upon completion of the audit described below. The Company is not currently subject to the reporting requirements of Section 13 or 15(d) of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), and its reports are made available through the OTC Disclosure & News Service and have not been filed with or reviewed by the U.S. Securities and Exchange Commission (the "SEC"). The Company has also expanded the scope of its ongoing audit engagement with Barton CPA PLLC, a PCAOB-registered public accounting firm (PCAOB Firm ID 6968), to cover the fiscal years ended June 30, 2025 and June 30, 2026, which are the two most recent fiscal years for which audited annual financial statements would be required in a registration statement on Form 10 under the Exchange Act. The Company intends to file a registration statement on Form 10 to register its common stock under Section 12(g) of the Exchange Act and become subject to SEC reporting requirements. The Company has not yet filed a Form 10, and there can be no assurance that the audits will be completed on any timetable, or that a Form 10 will be filed or become effective.

Buscar Company

Buscar owns four majority-owned operating businesses spanning gold exploration, sustainable materials, consumer wellness, and digital gaming. Each subsidiary holds its own assets and is measured against its own milestones, while the parent provides governance and capital allocation and serves as the publicly quoted holding company. Each of these businesses is at an early stage of development, and each will require additional capital to achieve the milestones described below. The Company's common stock is quoted on the OTC Markets and is not listed on a national securities exchange.

Business Updates

"The site meeting was a constructive step in the Plan of Operations review process," said Martin L. Gallon, P.Geo., CPG. "Agency representatives provided comments and recommended revisions to the submission, and those recommendations have been incorporated into an addendum to the previously submitted Plan of Operations. The review remains ongoing, and the timing and outcome of the agencies' decisions are not within the Company's control."

"Everything in this letter runs through the same gate," said Aleksandr Dekhtyar, Chairman and Chief Executive Officer. "Our near-term priorities are completion of the fiscal 2025 and fiscal 2026 audits, the remaining permits at Treasure Canyon, and continued operational readiness across each subsidiary so that progress can be measured against clear milestones. Each of these depends on our ability to secure the capital required to execute."

Cautionary Note Regarding Forward-Looking Statements

This letter contains "forward-looking statements." All statements other than statements of historical fact are forward-looking statements, including statements regarding: the completion, timing and results of the audits of the Company's fiscal 2025 and fiscal 2026 financial statements; the Company's planned registration statement on Form 10; the timing and outcome of permitting for the Treasure Canyon Project and any future exploration or drilling program; the conceptual exploration targets described in the Exploration Target Geological Report; Terramer's planned facility, production capacity, certifications, commissioning and shipment timing; Armorgenix's planned production run and distribution; Lucky Hand's development, launch timing and Web3 plans; and the Company's priorities, milestones and strategy. Words such as "anticipates," "believes," "could," "estimates," "expects," "intends," "may," "plans," "potential," "projects," "targets," "will," "would" and similar expressions are intended to identify forward-looking statements, although not all forward-looking statements contain these words.

Forward-looking statements are based on management's current expectations and assumptions and are subject to significant risks and uncertainties, many of which are beyond the Company's control, that could cause actual results to differ materially from those expressed or implied. These include, among others: the Company's need for substantial additional capital and the availability and terms of any financing; the possibility that the audits identify adjustments to the Company's previously reported unaudited financial statements; the possibility that the Company does not file a registration statement on Form 10 or that it does not become effective; the inherent uncertainty of mineral exploration, including the risk that no mineral resource or mineral reserve is ever identified at Treasure Canyon; delays in, conditions on, or denial of required permits; the early stage of each of the Company's businesses and their limited operating history; the ability to secure facilities, equipment, suppliers, certifications, customers and users; the ability to convert non-binding letters of intent into binding orders; regulatory requirements applicable to consumer wellness products, digital assets and online games; competition; reliance on key personnel, licensors, contract manufacturers and other third parties; and the fact that the Company's common stock is quoted on the OTC Markets, is thinly traded and may be subject to the SEC's "penny stock" rules. Forward-looking statements speak only as of the date of this letter. Except as required by law, the Company undertakes no obligation to update or revise any forward-looking statement, whether as a result of new information, future events or otherwise. Investors are cautioned not to place undue reliance on forward-looking statements. Because the Company is not currently subject to the reporting requirements of Section 13(a) or 15(d) of the Exchange Act, the statutory safe harbor for forward-looking statements in Section 27A of the Securities Act of 1933, as amended, and Section 21E of the Exchange Act is not available to the Company, and for so long as the Company's common stock constitutes a "penny stock," the safe harbor would not be available even after the Company becomes subject to those reporting requirements.

Cautionary Note Regarding Mineral Property Disclosure

The Company is an exploration-stage issuer with respect to the Treasure Canyon Project and has not established any mineral resources or mineral reserves as those terms are defined in S-K 1300. An exploration target is a statement of the potential quantity and grade of mineralization that is conceptual in nature. There has been insufficient exploration to estimate a mineral resource, and it is uncertain whether further exploration will result in the estimation of a mineral resource. Investors should not assume that any part of an exploration target will ever be converted into a mineral resource or mineral reserve. The scientific and technical information in this letter relating to the Treasure Canyon Project has been reviewed and approved by Martin L. Gallon, P.Geo., CPG, an independent qualified person as defined in S-K 1300.

No Offer or Solicitation

This letter is for informational purposes only and does not constitute an offer to sell or the solicitation of an offer to buy any securities of the Company, and there shall not be any sale of securities in any state or jurisdiction in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of that jurisdiction.

Public Disclosure

The Company discloses material information to the public through press releases distributed by a widely disseminated news service and through reports and notices posted on the OTC Disclosure & News Service at www.otcmarkets.com. This letter is being made publicly available through those channels at the same time it is delivered to shareholders. The Company does not disclose material nonpublic information selectively, and inquiries directed to the contact below will be answered only with information that is already publicly available.
