What is the Investigation About?
On June 1, 2026, after the market closed, AEVEX Corp. filed a registration statement announcing a secondary public offering of eight million shares of Class A common stock. The announcement came weeks after the Company's April 17, 2026 initial public offering, whose offering documents described a 180-day lock-up restricting sales by Madison Dearborn Partners, LLC, subject to release by the underwriter representatives.
Following this news, the price of AEVEX stock fell approximately 16% on June 2, 2026.
On June 5, 2026, before the market opened, AEVEX filed the final offering prospectus disclosing that at least two underwriter representatives had agreed to waive Madison's lock-up restrictions. According to the case summary, Madison received $207.9 million in net proceeds from the offering, while AEVEX retained none. Following this disclosure, AEVEX stock fell a further 7% on June 5, 2026.
