TORONTO, Oct. 14, 2026 (GLOBE NEWSWIRE) -- Matador Technologies Inc. ("Matador" or the "Company") (TSXV:MATA)(OTCQB:MATAF)(FSE:IU3), the Bitcoin Ecosystem Company, is pleased to announce that holders ("Shareholders") of common shares of the Company approved all matters put before its annual and special meeting of Shareholders held earlier today in Toronto, Ontario (the "Meeting"). Each matter is described in detail in the Company’s management information circular dated August 28, 2026 (the "Circular"), which is available under the Company’s profile on SEDAR+ at www.sedarplus.ca and at www.matador.network/agm.
Matters Approved at the Meeting
At the Meeting, Shareholders received the audited consolidated financial statements of the Company for the financial year ended October 31, 2025, together with the report of the auditor thereon, and passed an ordinary resolution fixing the number of directors of the Company at five.
Each of the five director nominees set out in the Circular was elected to hold office until the close of the next annual meeting of Shareholders or until his successor is duly elected or appointed. The directors of the Company are Deven Soni, Donato Sferra, Richard Murphy, Peter Kampian and Tyler Evans.
Shareholders also approved the reappointment of Kingston Ross Pasnak LLP as auditor of the Company for the ensuing year and authorized the directors to fix the auditor’s remuneration.
Amendment to Articles to Create Preferred Shares
Shareholders passed, by not less than two thirds of the votes cast, a special resolution (the "Preferred Share Resolution") authorizing an amendment to the articles of the Company to create a new class of shares consisting of an unlimited number of preferred shares, issuable in series (the "Preferred Shares"), as more particularly described in the Circular. Subject to the Business Corporations Act (Ontario), the Board of Directors of the Company is authorized to fix the number of shares in, and to determine the designation, rights, privileges, restrictions and conditions attaching to, each series of Preferred Shares before the issuance of shares of that series.
The amendment will become effective upon the filing of articles of amendment under the Business Corporations Act (Ontario) and the issuance of a certificate of amendment, and remains subject to the final acceptance of the TSX Venture Exchange (the "Exchange"). As permitted by the Preferred Share Resolution, the Board of Directors of the Company may revoke the resolution, in whole or in part, at any time prior to the endorsement of the certificate of amendment without further approval of Shareholders.
The Company has no present intention to issue Preferred Shares. Any future issuance would remain subject to applicable securities laws and the policies of the Exchange, including the prior acceptance of the Exchange.
The Company thanks its Shareholders for their continued support and participation in the Meeting.
